These Terms of Use (“Terms”) govern your access to and use of Zield.com and other websites, forms, content, and online services operated by Zield, LLC, a Utah limited liability company (“Zield,” “we,” “us,” or “our”).
By accessing or using the website, submitting information through the website, or otherwise interacting with the website, you acknowledge and agree to these Terms.
If you access or use the website on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms with respect to such access or use.
1. Zield’s Business
Zield is an AI compute development and acceleration company.
Zield evaluates opportunities involving existing, forward, acceleratable, and developable compute capacity and related infrastructure. Depending on the opportunity, Zield may identify, source, aggregate, structure, accelerate, develop, arrange, procure, place, facilitate, or otherwise participate in potential compute and infrastructure opportunities and transactions.
Zield may interact with compute customers, artificial intelligence companies, cloud and compute providers, data center owners and operators, infrastructure developers, hardware providers, utilities, financing sources, contractors, advisers, and other market participants.
The website is intended primarily to facilitate information exchange, introductions, opportunity evaluation, and business development. The precise role of Zield in any particular transaction will be determined by the applicable facts and any definitive written agreements.
2. Website Is Not an Offer or Commitment
Information presented on this website is provided for general informational and business-development purposes.
Nothing on the website constitutes:
an offer to sell or provide compute capacity;
an offer or commitment to purchase capacity;
a binding quotation;
a reservation of capacity;
a guarantee of availability;
a commitment to finance, develop, purchase, sell, lease, procure, place, or deliver any asset or service;
investment, legal, tax, engineering, cybersecurity, accounting, or financial advice; or
a binding agreement or commitment of any kind.
No transaction or commitment exists merely because information has been displayed, submitted, received, discussed, evaluated, or exchanged through the website.
Any transaction will be subject to applicable diligence, approvals, documentation, and execution of definitive written agreements by the relevant parties.
3. Compute Requirements
Submission of a compute requirement does not obligate Zield to identify, procure, develop, finance, reserve, or deliver compute capacity.
Any information regarding potential capacity, pricing, timing, availability, architecture, performance, geography, technical specifications, counterparties, or commercial terms is preliminary unless expressly stated otherwise in a definitive written agreement.
Capacity may become unavailable, be allocated to another party, change in price or configuration, experience delays, fail to satisfy technical or commercial requirements, or otherwise change without notice.
Users should not rely on a submission, preliminary communication, indication of interest, estimate, discussion, or website content as confirmation that compute will be available or delivered.
4. Capacity Submissions
Submission of a capacity opportunity does not obligate Zield to market, place, purchase, finance, develop, promote, reserve, or otherwise pursue the opportunity.
By submitting capacity or infrastructure information, you represent and warrant that:
the information submitted is accurate in all material respects to the best of your knowledge;
you have lawful authority to provide the information to Zield;
providing the information does not violate any contractual, confidentiality, fiduciary, legal, regulatory, or other obligation;
you will not knowingly provide false, misleading, fraudulent, or materially incomplete information; and
where you represent that you own, control, are authorized to market or place, or otherwise possess rights concerning capacity or infrastructure, you possess the authority or rights represented.
Zield may request evidence supporting capacity availability, ownership, control, authorization, technical specifications, pricing, power status, infrastructure status, commercial terms, or other representations.
Zield is not obligated to independently verify any submission and may reject, discontinue evaluation of, or decline to pursue any opportunity in its discretion.
5. No Agency, Fiduciary, Partnership, or Other Special Relationship
Use of the website, communication with Zield, or submission of a compute requirement or capacity opportunity does not, by itself, create any agency, fiduciary, advisory, partnership, joint venture, employment, franchise, exclusive dealing, or other special relationship between Zield and any user.
Zield is not acting as your fiduciary, investment adviser, engineer, attorney, tax adviser, accountant, or other professional adviser merely because you use the website, provide information, or communicate with Zield.
Nothing on the website appoints Zield as an agent or representative of any party or authorizes Zield to bind any party.
Any agency, representation, placement, advisory, development, exclusivity, or similar relationship must be expressly established in a separate written agreement executed by authorized representatives of the applicable parties.
6. Commercial Terms and Zield Compensation
Zield is a commercial enterprise and may receive compensation or economic benefits in connection with opportunities, services, projects, relationships, or transactions in which it participates.
Depending on the applicable arrangement and subject to applicable law, such compensation or economic benefits may include fees, commissions, margins, development fees, structuring fees, referral fees, success fees, transaction-based compensation, revenue participation, equity or other ownership interests, carried interests, profit participation, or other forms of consideration.
Zield’s compensation may be paid or provided by a capacity provider, customer, developer, owner, financing source, counterparty, or other participant, as established in the applicable agreement or transaction.
Zield may have commercial relationships or economic interests involving one or more participants in a potential transaction.
Unless expressly agreed otherwise in writing, no particular fee, commission, compensation structure, economic arrangement, exclusivity right, or payment obligation is established merely by accessing the website, communicating with Zield, or submitting information.
Specific commercial terms, including placement rights, exclusivity, fee arrangements, commissions, development economics, transaction protections, payment obligations, or other compensation, will be established separately where applicable.
Zield may receive compensation from one or more participants in a potential opportunity or transaction, including a provider, customer, developer, owner, financing source, counterparty, or other participant, subject to applicable law and any applicable contractual disclosure, consent, or other requirements.
The amount and form of Zield’s compensation may vary by transaction and may reflect, among other things, sourcing, introductions, placement, aggregation, structuring, development, acceleration, procurement, diligence, project participation, exclusivity, market access, or other services or value provided by Zield.
Nothing on the website establishes or limits the amount of compensation Zield may receive in connection with a particular opportunity. Any specific commission, success fee, margin, development fee, economic interest, transaction fee, or other compensation will be established in the applicable written agreement or transaction documentation.
7. No Circumvention or Transaction Protection Created by Website Use
Submission or exchange of information through the website does not, by itself, create non-circumvention rights, tail rights, protected-account rights, exclusivity rights, rights of first refusal, rights of first offer, commissions, success fees, transaction protections, or other contractual or economic rights for any party.
Such rights, if applicable, must be established in a separate written agreement.
Nothing in this Section limits any rights or remedies that Zield or another party may possess under a separately executed agreement or applicable law.
8. Confidentiality and Sensitive Information
Zield recognizes that users may provide commercially sensitive information concerning compute requirements, capacity, infrastructure, pricing, availability, development opportunities, and potential transactions.
However, submission of information through the website does not, by itself, create a contractual confidentiality, fiduciary, or nondisclosure relationship.
If information requires legally binding confidentiality protection, you should not submit it through the website unless an appropriate confidentiality agreement has been executed or Zield has expressly agreed in writing to receive it subject to specified confidentiality obligations.
Do not submit classified information, export-controlled technical data, passwords, private cryptographic keys, sensitive access credentials, trade secrets requiring special handling, or other information subject to special legal, regulatory, security, or contractual restrictions through ordinary website forms unless Zield has expressly agreed in writing to receive such information.
Zield’s collection and handling of personal information is also subject to its Privacy Policy.
9. Evaluation, Communications, and Potential Counterparties
You acknowledge that Zield’s business may require it to evaluate opportunities with multiple potential counterparties and market participants.
Subject to applicable law and any separate written confidentiality obligations, Zield may communicate relevant information concerning potential opportunities to compute providers, customers, developers, owners, operators, infrastructure providers, hardware providers, financing sources, vendors, advisers, professional service providers, and other potential transaction participants for purposes of evaluating, structuring, developing, financing, facilitating, or pursuing an opportunity.
Where Zield considers it appropriate, it may use aggregated, anonymized, summarized, redacted, or non-identifying information in preliminary discussions.
Zield may independently receive, develop, evaluate, or pursue opportunities that are similar to or competitive with opportunities submitted by users. Unless otherwise agreed in writing, the submission of an opportunity does not restrict Zield from conducting business with other parties or pursuing other opportunities.
10. Independent Verification and Due Diligence
Information regarding compute capacity, infrastructure, power, facilities, hardware, networking, cooling, availability, pricing, schedules, counterparties, development status, and other matters may originate from third parties or other sources outside Zield’s control.
Zield does not warrant or guarantee the accuracy, completeness, reliability, currency, or suitability of third-party information unless expressly provided otherwise in a definitive written agreement.
Each participant in a potential opportunity or transaction is responsible for conducting its own technical, commercial, financial, legal, tax, cybersecurity, regulatory, operational, engineering, and other due diligence it considers appropriate.
Users should independently verify material information before entering into any transaction, committing capital or resources, or making any material business decision.
11. No Guarantee of Capacity, Performance, or Timing
Compute and infrastructure projects involve significant technical, commercial, supply-chain, construction, utility, power, hardware, networking, financing, permitting, regulatory, commissioning, operational, and counterparty risks.
Unless expressly guaranteed by Zield in a definitive written agreement, Zield makes no guarantee concerning:
capacity availability;
accelerator availability or allocation;
delivery or deployment dates;
ready-to-compute dates;
power availability, quality, or energization;
facility completion or readiness;
hardware availability, condition, compatibility, or performance;
workload performance;
network availability, latency, topology, or performance;
cooling availability or performance;
uptime or service levels;
pricing or future pricing;
financing availability or terms;
permitting or governmental approvals;
utility approvals or interconnection;
construction or commissioning schedules;
security or compliance certifications;
suitability for a particular workload or purpose; or
successful completion, operation, or performance of any transaction or project.
Estimates, projections, target dates, expected capacity, development schedules, and similar forward-looking information are inherently uncertain and may change.
12. Third-Party Providers and Counterparties
Zield may identify, introduce, communicate with, evaluate, or facilitate interactions involving third-party providers, customers, developers, owners, operators, vendors, contractors, financing sources, advisers, or other counterparties.
Unless expressly provided otherwise in a definitive written agreement, Zield does not control and is not responsible for the acts, omissions, products, services, representations, financial condition, performance, cybersecurity, regulatory compliance, contractual performance, solvency, or conduct of independent third parties.
Any transaction with a third party may be subject to that party’s own contracts, terms, policies, diligence requirements, credit requirements, technical requirements, and other conditions.
Identification of, communication concerning, introduction to, or evaluation of a third party by Zield does not constitute an endorsement, warranty, guarantee, or representation concerning that party.
13. No Investment or Securities Offering
Nothing on this website constitutes an offer to sell, solicitation of an offer to purchase, or recommendation concerning any security, investment product, financial instrument, or investment opportunity.
Nothing on the website constitutes investment advice or a representation that any project, company, asset, transaction, or opportunity is suitable for investment.
Any financing, investment, securities, or capital-markets transaction in which Zield may become involved will be conducted separately and subject to applicable agreements, laws, regulations, exemptions, and professional advice.
14. Intellectual Property
The website and its content, including the Zield name, branding, logos, graphics, designs, text, diagrams, interfaces, page layouts, methodologies, and other materials, are owned by or licensed to Zield and are protected by applicable intellectual property and other laws.
Subject to these Terms, Zield grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the website for legitimate business purposes.
Except as permitted by applicable law or expressly authorized by Zield in writing, you may not copy, reproduce, republish, distribute, display, modify, create derivative works from, scrape, systematically extract, reverse engineer, frame, mirror, commercially exploit, or otherwise use website content or Zield intellectual property.
Nothing in these Terms grants any right, title, or interest in Zield’s trademarks, trade names, logos, proprietary technology, data, methodologies, or other intellectual property except the limited right to use the website as expressly provided herein.
15. Submitted Information
As between you and Zield, you retain any ownership rights you may have in information you submit to Zield.
You grant Zield a non-exclusive, worldwide, royalty-free right to receive, store, reproduce, organize, analyze, evaluate, transmit, communicate, and disclose submitted information as reasonably necessary to evaluate, pursue, structure, develop, finance, facilitate, administer, or perform potential business opportunities and transactions; operate Zield’s business; comply with legal obligations; protect Zield’s legitimate interests; and exercise the rights described in these Terms and the Privacy Policy.
You represent and warrant that you possess all rights, permissions, consents, and authority necessary to provide submitted information and permit Zield to use it as described in these Terms.
Nothing in these Terms transfers ownership to Zield of a user’s underlying confidential information, intellectual property, infrastructure, compute capacity, or other assets.
Any use of submitted information remains subject to applicable law and any separate written agreement between the applicable parties.
16. Acceptable Use
You may not use the website to:
violate applicable law or regulation;
infringe, misappropriate, or violate the rights of another person or organization;
impersonate another person or organization or misrepresent your authority or affiliation;
submit fraudulent, deceptive, misleading, materially inaccurate, or unauthorized information;
introduce malware, malicious code, or harmful technology;
interfere with or disrupt the operation or security of the website or related systems;
attempt to gain unauthorized access to systems, accounts, networks, or data;
probe, scan, or test vulnerabilities without authorization;
scrape, crawl, harvest, or systematically extract website information without authorization;
circumvent technological restrictions or security measures; or
use the website for unlawful, abusive, fraudulent, or malicious purposes.
Zield may restrict or terminate access to the website where it reasonably believes these Terms have been violated or where necessary to protect Zield, its systems, users, counterparties, or others.
17. Website Availability and Modifications
Zield may modify, update, suspend, restrict, or discontinue any part of the website, its content, forms, features, or functionality at any time without notice or liability, subject to applicable law.
Zield does not guarantee that the website will be uninterrupted, error-free, secure, or continuously available.
We may change website content, functionality, eligibility requirements, business offerings, submission processes, or other aspects of the website as our business develops.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, INFORMATION, MATERIALS, FEATURES, AND FUNCTIONALITY AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIELD DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, SECURITY, AND FITNESS FOR ANY PARTICULAR COMPUTE, INFRASTRUCTURE, TECHNICAL, COMMERCIAL, DEVELOPMENT, FINANCIAL, OR OTHER PURPOSE.
Zield does not warrant that information available through the website is accurate, complete, current, or error-free, or that defects will be corrected.
No oral or written information obtained from the website creates a warranty not expressly stated in a definitive written agreement executed by Zield.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIELD AND ITS AFFILIATES, OWNERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR SIMILAR DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, COMPUTE CAPACITY, USE, PRODUCTION, OPPORTUNITY, CONTRACTS, ANTICIPATED SAVINGS, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE WEBSITE, THESE TERMS, INFORMATION PROVIDED THROUGH THE WEBSITE, OR YOUR INTERACTIONS WITH ZIELD THROUGH THE WEBSITE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIELD’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO ZIELD SPECIFICALLY FOR USE OF THE WEBSITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The foregoing limitations apply regardless of the form or theory of liability, whether based in contract, tort, negligence, strict liability, statute, or otherwise, and even if Zield has been advised of the possibility of such damages.
These limitations apply only to claims arising from or relating to the website and these Terms. Liability arising under a separate definitive written agreement with Zield will be governed by that agreement.
Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
20. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zield and its affiliates, owners, members, directors, officers, employees, contractors, representatives, and agents from and against claims, actions, proceedings, damages, liabilities, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
your misuse of the website;
information or materials you submit, provide, or communicate;
your violation of these Terms;
your violation of applicable law or regulation;
your infringement, misappropriation, or violation of another person’s or organization’s rights;
your breach of any representation or warranty made under these Terms; or
any materially false, misleading, fraudulent, incomplete, or unauthorized representation made by you concerning compute capacity, infrastructure, authority, ownership, control, availability, pricing, technical characteristics, power, facilities, commercial terms, or another business matter.
Zield reserves the right, at its expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to reasonably cooperate with Zield in asserting available defenses.
21. Governing Law
These Terms and any dispute, claim, or controversy arising from or relating to the website or these Terms will be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles.
22. Venue and Jurisdiction
To the extent a dispute is not governed by a separate written agreement containing different dispute-resolution provisions, you and Zield agree that any legal action or proceeding arising from or relating to the website or these Terms will be brought exclusively in the state courts located in Utah County, Utah, or the United States federal court having jurisdiction over Utah County, Utah.
You irrevocably consent to the personal jurisdiction and venue of such courts for such purposes and waive, to the extent permitted by law, any objection based on inconvenient forum or improper venue.
Nothing in this Section prevents Zield from seeking temporary, preliminary, or other injunctive or equitable relief in any court of competent jurisdiction where reasonably necessary to protect its intellectual property, confidential information, systems, security, or other rights.
23. Separate Agreements Control
Zield may enter into nondisclosure agreements, confidentiality agreements, placement agreements, referral agreements, development agreements, service agreements, transaction agreements, capacity agreements, procurement agreements, financing arrangements, project agreements, or other written agreements with users or counterparties.
If a separate written agreement between you and Zield conflicts with these Terms concerning the subject matter of that agreement, the separate written agreement will control to the extent of the conflict.
These Terms are not intended to amend or supersede a separately executed definitive agreement except where that agreement expressly provides otherwise.
24. Changes to These Terms
Zield may update or modify these Terms from time to time as its business, website, services, practices, technologies, or legal obligations evolve.
When these Terms are updated, Zield may revise the “Last Updated” date displayed at the top of the Terms and may provide additional notice where required by applicable law.
Unless otherwise stated, updated Terms become effective when posted to the website.
Your continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Material changes will not retroactively alter rights or obligations under a separately executed definitive written agreement unless that agreement expressly provides otherwise.
25. Severability
If any provision of these Terms is determined by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
26. Waiver
Zield’s failure or delay in exercising or enforcing any right, power, privilege, or provision under these Terms does not constitute a waiver of that or any other right, power, privilege, or provision.
A waiver is effective only if made in writing by an authorized representative of Zield and only with respect to the specific matter for which it is given.
27. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without Zield’s prior written consent.
Zield may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, financing, sale of assets, corporate restructuring, change of control, transfer to an affiliate, or other business transaction or by operation of law.
Subject to the foregoing, these Terms will bind and benefit the parties and their permitted successors and assigns.
28. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the entire agreement between you and Zield, LLC concerning your access to and use of the website and supersede prior or contemporaneous understandings concerning that subject matter.
These Terms do not supersede or replace any separately executed definitive written agreement between you and Zield concerning a transaction, project, service, confidentiality obligation, placement relationship, development arrangement, or other business relationship.

30. Export Controls, Sanctions, and Trade Compliance
Users may not use Zield, the website, or any opportunity, transaction, service, compute capacity, hardware, infrastructure, technology, software, information, or relationship identified, arranged, developed, procured, placed, or facilitated through Zield in violation of applicable export-control, economic-sanctions, trade-control, anti-boycott, import, customs, or similar laws or regulations.
Users and transaction participants are responsible for determining and complying with legal and regulatory requirements applicable to their activities and transactions, including requirements based on hardware, technology, software, destination, country, ownership, ultimate parent, end user, end use, beneficial ownership, transaction structure, or other relevant facts.
Zield may request information or documentation concerning counterparties, beneficial ownership, ultimate parent entities, end users, end uses, destinations, hardware, technology, infrastructure, financing, transaction structure, or other matters; conduct or require screening, diligence, certifications, or representations; suspend or terminate evaluation of an opportunity; decline to participate in a transaction; or require additional documentation or safeguards where Zield determines such action is appropriate for legal, regulatory, compliance, security, reputational, operational, or risk-management purposes.
No statement, communication, introduction, screening activity, diligence activity, or participation by Zield constitutes legal advice or a representation, warranty, or guarantee that a proposed transaction, export, reexport, transfer, use, deployment, service, or other activity is lawful or authorized under applicable export-control, sanctions, trade, or other laws. Each applicable participant remains responsible for obtaining its own legal advice, licenses, authorizations, approvals, and compliance determinations.
Zield may cooperate with lawful governmental, regulatory, judicial, or law-enforcement requests and may take actions reasonably necessary to comply with applicable legal obligations.
31. Preliminary Communications; No Reliance; Authority to Commit
Discussions, emails, messages, presentations, indications of interest, estimates, projections, target dates, pricing indications, availability statements, technical descriptions, oral communications, and other preliminary communications involving Zield or potential transaction participants are informational and non-binding unless expressly incorporated into a definitive written agreement executed by authorized representatives of the applicable parties.
Users and transaction participants should not rely on preliminary communications as warranties, guarantees, reservations, commitments, representations of final availability, or promises concerning price, capacity, architecture, performance, timing, power, facilities, financing, delivery, deployment, regulatory approval, or transaction completion.
No employee, contractor, representative, consultant, intermediary, or other person has authority to bind Zield to a transaction, warranty, guarantee, indemnity, obligation, or commitment unless such authority exists and the commitment is expressly contained in a definitive written agreement executed on behalf of Zield by an authorized representative of Zield, LLC.
Nothing in this Section limits liability for fraud or any other liability that cannot lawfully be excluded or limited.
